National law firm Shoosmiths has advised Spence Johnson on its sale to world leading fintech company, Broadridge, in a deal that sees the creation of a unique single industry data source.
A leading provider of data, analytics and consulting services to the financial asset management industry, Spence Johnson operates across Europe, the United States and Asia.
Broadridge's acquisition will combine their own retail fund data and analytics solution with the institutional data, market intelligence and insight, bringing together retail and institutional data and analytics in a single industry source for the first time.
The Shoosmiths team was led by corporate partner Alastair Peet with solicitor Helen Burnell assisting. Real estate partner Catherine Hood and commercial associate Nick Vernon provided support on property and employment aspects.
Magnus Spence, co-founder of Spence Johnson, commented: "We were a small 20 -person firm being acquired by a 10,000- person giant. As such we needed to ensure we had a strong legal team that fully understood our industry and what we were trying to achieve.
"We had begun our relationship with Shoosmiths the previous year because we wanted to be well prepared, and this proved to be a wise move. When the time came, our buyers were very co-operative and fair but there were still many legal bumps in the road and the Shoosmiths team expertly guided us through these to completion with our sanity still largely intact."
Alastair Peet added: "We are extremely pleased to have advised on this innovative deal that will provide the international business community with a new collaborative data and intelligence service. We wish both parties involved the best of luck with their ongoing endeavour."
Shoosmiths' corporate team advises public and private companies, management teams, investors and debt providers through the business life cycle. Shoosmiths work with businesses from start-up and first round finance through to mergers and acquisitions, MBO and MBI transactions, development funding and on exits, by way of sale, listing or private equity investment.
Nationally, the corporate team is ranked in first place by deal volume in Experian's 2016 MarketIQ UK & Ireland M&A league tables. The team was recognised for its mergers and acquisitions expertise at the 2015 M&A Awards, winning the Law Firm of the Year category.
